Terms of Service

1. Acceptance of Terms

By accessing, browsing, or using the services provided by Fannty Ltd ("Fannty," "we," "us," or "our"), including the Bridgy decentralized multichain wallet and associated on-ramp, off-ramp, OTC trading, and fiat settlement solutions (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and Fannty Ltd, a company registered in England and Wales under company number 16644848, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

2. Eligibility

To use our Services, you must:

  • Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher.
  • Have the legal capacity and authority to enter into a binding agreement.
  • Not be a resident of, or located in, any jurisdiction that is subject to comprehensive economic sanctions imposed by the United Kingdom, the European Union, the United States, or the United Nations (including but not limited to North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
  • Not be listed on any sanctions list maintained by His Majesty's Treasury (HMT), the Office of Financial Sanctions Implementation (OFSI), the U.S. Office of Foreign Assets Control (OFAC), or any equivalent authority.
  • Not have been previously suspended or removed from our Services.

By using our Services, you represent and warrant that you meet all of the above eligibility requirements.

3. Description of Services

Fannty Ltd operates as a crypto payment service provider. Through our flagship product, Bridgy, we offer the following Services:

  • Decentralized Multichain Wallet: A non-custodial wallet supporting multiple blockchain networks, enabling you to store, send, and receive cryptocurrency assets.
  • On-Ramp Services: Conversion of fiat currency to cryptocurrency through supported payment methods.
  • Off-Ramp Services: Conversion of cryptocurrency to fiat currency with settlement to supported bank accounts or payment methods.
  • OTC Trading: Over-the-counter trading services for larger volume transactions with personalised pricing and settlement.
  • Fiat Settlement: Settlement solutions for businesses and individuals requiring fiat disbursement from cryptocurrency holdings.

The availability of specific Services may vary by jurisdiction and is subject to regulatory requirements and applicable law.

4. Account Registration

To access certain features of our Services, you must create an account and complete our Know Your Customer (KYC) verification process. When registering, you agree to:

  • Provide accurate, current, and complete information as required during the registration and verification process.
  • Promptly update your information to maintain its accuracy and completeness.
  • Maintain the security and confidentiality of your account credentials, including passwords, API keys, and any multi-factor authentication methods.
  • Immediately notify Fannty of any unauthorised access to or use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to refuse registration, suspend, or terminate any account if we reasonably believe that the information provided is inaccurate, incomplete, or fraudulent, or if the account is being used in violation of these Terms.

5. Prohibited Activities

You agree not to use our Services for, or in connection with, any of the following prohibited activities:

  • Money laundering, terrorist financing, or the financing of proliferation of weapons of mass destruction.
  • Fraud, deception, or any other dishonest or illegal activity.
  • Evasion or circumvention of economic sanctions, export controls, or trade embargoes imposed by any competent authority.
  • Market manipulation, insider trading, or any form of market abuse.
  • Purchasing or selling illegal goods or services, including controlled substances, unlicensed firearms, or child exploitation material.
  • Tax evasion or any activity designed to circumvent tax obligations.
  • Interfering with, disrupting, or attempting to gain unauthorised access to our systems, networks, or other users' accounts.
  • Using our Services in any manner that violates applicable laws or regulations.

We reserve the right to report any suspected illegal activity to the relevant authorities and to cooperate fully with any law enforcement investigation.

6. Not a Bank Disclosure

Fannty Ltd is not a bank, building society, credit institution, or deposit-taking institution. We do not accept deposits, make loans, extend credit, or provide traditional banking services. Our Services are limited to crypto payment processing, wallet infrastructure, and related services as described in these Terms.

Fiat funds held in connection with our on-ramp, off-ramp, and settlement services are held in segregated client accounts with regulated banking partners and are not commingled with Fannty's operational funds.

7. No Government Insurance

Cryptocurrency assets held through, accessed via, or transacted using our Services are not insured by the Financial Services Compensation Scheme (FSCS), the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other government or regulatory deposit insurance, protection, or guarantee scheme.

In the event of the failure of Fannty, any of its banking partners, or any blockchain network, you may lose some or all of the value of your cryptocurrency assets. You are solely responsible for evaluating the risks associated with using our Services.

8. Risk Warnings

By using our Services, you acknowledge and accept the following risks:

  • Volatility Risk: The value of cryptocurrency assets is highly volatile and can fluctuate significantly over short periods of time. The value of your cryptocurrency holdings may increase or decrease substantially, and you may lose some or all of your investment.
  • Total Loss Risk: You may lose the entire value of your cryptocurrency assets. Past performance is not indicative of future results, and there is no guarantee that any cryptocurrency will retain any value.
  • Regulatory Risk: The regulatory landscape for cryptocurrency is evolving and varies by jurisdiction. Changes in laws, regulations, or government policies may adversely affect the value, use, or transferability of cryptocurrency assets, or the availability of our Services.
  • Technology Risk: Blockchain networks and cryptocurrency protocols are subject to technical risks, including but not limited to software bugs, network congestion, hard forks, consensus failures, 51% attacks, and smart contract vulnerabilities.
  • Cybersecurity Risk: Despite our security measures, there is a risk of hacking, phishing, malware, and other cyber attacks that could result in the loss of your cryptocurrency assets.
  • Liquidity Risk: Certain cryptocurrency assets may have limited liquidity, making it difficult or impossible to buy or sell at desired prices or in desired quantities.
  • No Guarantee of Returns: Fannty does not guarantee any returns on cryptocurrency assets. We do not provide investment advice, and our Services should not be construed as an endorsement of any particular cryptocurrency or investment strategy.

You should carefully consider your financial situation and risk tolerance before using our Services. If you are unsure about the risks involved, you should seek independent financial advice.

9. Fees

Fees may apply to certain transactions and Services. All applicable fees will be clearly disclosed to you prior to the execution of any transaction. By proceeding with a transaction, you agree to pay all associated fees.

Fannty reserves the right to change its fee structure at any time. We will provide reasonable notice of any material changes to fees. Updated fee schedules will be published on our website and/or within the Bridgy application.

In addition to our fees, you may be subject to network fees (gas fees) charged by the underlying blockchain networks. These fees are not controlled by Fannty and are determined by network conditions.

10. Intellectual Property

All intellectual property rights in and to the Services, including but not limited to the Bridgy name, logos, trademarks, trade names, software, website content, documentation, and user interface designs, are owned by or licensed to Fannty Ltd. These rights are protected by applicable copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use our Services for their intended purpose, subject to these Terms. You may not:

  • Copy, modify, distribute, sell, or lease any part of our Services or software.
  • Reverse engineer, decompile, or disassemble our software, except where permitted by law.
  • Use our trademarks, logos, or brand elements without our prior written consent.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Fannty Ltd, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of cryptocurrency assets, business interruption, or any other intangible losses, arising out of or in connection with your use of, or inability to use, our Services.

Our total aggregate liability to you for any and all claims arising under or in connection with these Terms or your use of the Services shall not exceed the total amount of fees paid by you to Fannty during the twelve (12) month period immediately preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fannty Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of, or access to, our Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your violation of any rights of a third party, including intellectual property rights.
  • Any content or information you submit or transmit through our Services.

13. AML/KYC Policy

Fannty Ltd is committed to compliance with applicable anti-money laundering (AML) and counter-terrorist financing (CTF) regulations, including the UK Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 (as amended) and the Proceeds of Crime Act 2002.

In furtherance of our compliance obligations:

  • All users must complete identity verification (KYC) before accessing transaction services.
  • We conduct ongoing monitoring of transactions for suspicious activity.
  • We may request additional information or documentation from you at any time as part of our enhanced due diligence procedures.
  • We may freeze, suspend, or close accounts where we suspect money laundering, terrorist financing, fraud, or other criminal activity.
  • We are required to report suspicious activity to the National Crime Agency (NCA) and other relevant authorities. We may not be able to inform you if such a report is made.

14. Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. However, Fannty reserves the right to bring proceedings in any competent jurisdiction for the purpose of seeking injunctive or other equitable relief.

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at contact@fannty.com. We will endeavour to resolve complaints within thirty (30) days.

15. Termination

Either party may terminate the agreement formed by these Terms at any time. You may close your account by contacting our support team. Fannty may suspend or terminate your account and access to the Services immediately, without prior notice, if:

  • You breach any provision of these Terms.
  • We are required to do so by law, regulation, or order of a competent authority.
  • We reasonably suspect fraudulent, illegal, or unauthorised activity on your account.
  • You fail to complete or pass our KYC/AML verification procedures.
  • We decide to discontinue the Services or any part thereof.

Upon termination, you must cease all use of the Services. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to sections on limitation of liability, indemnification, intellectual property, and dispute resolution.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely achieves the intent and economic effect of the original provision.

17. Changes to Terms

Fannty reserves the right to modify or replace these Terms at any time. For material changes, we will provide at least thirty (30) days' notice before the updated Terms take effect. Notice may be provided by:

  • Posting the revised Terms on our website with an updated "Last updated" date.
  • Sending a notification to the email address associated with your account.
  • Displaying a notice within the Bridgy application.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and close your account.
